Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into between UIXPRESSION (“Designer”) and the client submitting an order (“Client”).

By submitting files, links, or information through the UIXPRESSION website, the Client agrees to the terms of this Agreement.

1. Definition of Confidential Information

“Confidential Information” includes, but is not limited to:

• Logos, brand assets, icons, designs, sketches, and files

• Business names, project details, and visual materials

• Google Drive links or uploaded files

• Any information shared for the purpose of completing a design service

Confidential Information may be shared in digital, written, or visual form.

2. Obligations of UIXPRESSION

UIXPRESSION agrees to:

• Use Confidential Information only to perform the requested services

• Not disclose, share, sell, or distribute Confidential Information to third parties

• Keep all files and materials private and secure

• Not use client work for marketing, portfolios, or public display without written permission

3. Client Responsibilities

The Client agrees that:

• They have the right to share the materials provided

• Shared files do not infringe on third-party copyrights or trademarks

• File access permissions (e.g., Google Drive links) are set correctly

4. Exclusions

Confidential Information does not include information that:

• Is publicly available without breach of this Agreement

• Was already known to UIXPRESSION prior to disclosure

• Is independently developed without use of the Client’s materials

• Is required to be disclosed by law or court order (Client will be notified when possible)

5. Duration

This Agreement remains in effect indefinitely for all Confidential Information shared, unless otherwise agreed to in writing by both parties.

6. Ownership

All original materials provided by the Client remain the property of the Client.
Final deliverables created by UIXPRESSION become the Client’s property upon full payment, unless otherwise stated in the service description.

UIXPRESSION retains the right to reuse general techniques, skills, or knowledge gained during the project, provided no Confidential Information is disclosed.

7. Security

UIXPRESSION will take reasonable measures to protect Confidential Information, including secure storage and limited access. However, no digital system can guarantee absolute security.

8. No Warranty

All services and deliverables are provided “as is.” UIXPRESSION makes no guarantees beyond the scope of the agreed service.

9. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the United States.

10. Acceptance

By submitting an order, checking the NDA agreement box, or uploading files through the UIXPRESSION website, the Client acknowledges that they have read, understood, and agreed to this Non-Disclosure Agreement.
